POSITION OVERVIEW
The Paralegal Transactional and Compliance has responsibility for assisting the Law Group and the business in the Europe, India, Middle East and Africa (EIMEA) region.
The successful candidate will be an experienced legal professional capable of collaborating with various legal and business stakeholders, administering the day-to-day operation of H.
B. Fuller’s internal transactional legal needs (confidentiality and commercial agreement requests) in EIMEA and assisting with various compliance programmes as they are implemented locally.
The role will include managing service agents and outside counsel and serving as the key staff support for requests for commercial agreements, compliance queries and subsidiary management inquiries.
The Paralegal will report to the H.B. Fuller Senior Regional Counsel EIMEA, based in the UK, with a dotted line to the H.
B. Fuller Assistant General Counsel (Ethics & Compliance), based at H.B. Fuller headquarters in the U.S. This position will be based at the Company’s regional offices in Mindelo, Portugal.
PRIMARY DUTIES
Administration of Confidentiality Agreements and Transactional Matters (50%)
Draft and review confidentiality agreements protecting the Company’s intellectual property with minimal attorney review, including advising internal clients about options regarding alternative form language, which form of contract is appropriate (one way or two-way agreement, consulting agreement), and provide comments / draft amendments to conform third party agreements to Company form agreement as commercially necessary and appropriate.
Communicate with H.B. Fuller personnel regarding review and status of agreements. Utilize, maintain and provide training regarding the confidentiality agreement request and review process to all levels within the Company.

Understand the key principles behind a number of commercial contracts, including purchase or supply contracts, distributors, agents, consignment stock or contract manufacturing agreements for example, so as to be able to direct the business appropriately and / or support the attorneys on drafting and reviewing these agreements as necessary.
Help to develop and deliver internal training on legal and contractual issues, or other Law Group led initiatives, including helping to develop and roll out new tools or systems in practice.
Maintain related records and files.
Compliance (35%)
Serve as a regional compliance champion, working closely with the EIMEA Senior Regional Counsel and Assistant General Counsel (Ethics & Compliance) to support the Company’s compliance needs, assisting with raising awareness of corporate compliance policies and programmes with the respective business and functions.
Support the development and delivery of training to the business and functions on key compliance procedures and topics, including anti-corruption and export controls third-party compliance, conflicts of interest and understanding of the Code of Business Conduct and Core Policies.
Support the continuing development and implementation of region and company-wide data privacy and cyber-security-related policies and procedures, in partnership with the Company’s HR, IT, Sourcing and Ethics & Compliance teams.
With direction and support from the Assistant General Counsel (Ethics & Compliance) and others, the Paralegal will need to :
Determine the appropriate filing and maintenance strategy for such documents (whether using SharePoint, NetDocuments or other tools)
Other General Matters (15%)
Examples may include intake and tracking of transactional work requests, support for special projects, related legal research, due diligence for mergers & acquisitions, assistance in the maintenance of corporate subsidiaries and books and records in compliance with local requirements, maintain subsidiary database, including assisting with forming and / or dissolving entities and applying for authority to do business in certain countries, maintaining all records and files.
As needed, serve as backup for other transactional, compliance and subsidiary management duties in the Law Department as it may operate globally.
