The opportunity

We are looking for a motivated, business savvy In-House Legal Counsel to join our General Counsel Office (GCO) team. This role will be within the Core Business Services (CBS) service line and will handle a broad range of responsibilities supporting the EY business.

The ideal candidate will provide practical and wide-ranging advice on legal issues. They will have the ability to assess legal risks in contracts or commercial approaches and to provide alternative and practical legal solutions for the business.

You should have a generalist approach and judgment with the necessary specialist and technocratic ability that best supports and protects the business.

Your key responsibilities

  • Work closely with the Partners and Service Line Leaders, in Portugal and PALOP Countries, in order to provide advisory and guidance mainly in the following areas : Corporate and M&A, Banking & Finance, Financial Services Regulation, Contracts Law, Capital Markets, Energy and Construction and Real Estate;
  • Review, draft and negotiate transaction agreements and ancillary documents;
  • Draft and negotiate complex contracts with clients, vendors and other third parties, including other EY member firms worldwide, with a particular focus on limiting the firm’s financial and reputational risk exposure;
  • Interpret and explain to professionals the appropriate implementation of Portuguese and European policies and procedures;
  • Liaise with members of service line quality groups and Risk Management (RM), Independence and Professional Practice leaders, as appropriate, in delivery of advice and assessment of risk of particular engagements and proposed new service lines;
  • Protect EY’s intellectual property to prevent loss or infringement by third parties through understanding and application of appropriate safeguards such trademarks, copyrights, patents and appropriate contractual provision;
  • Assist in drafting, reviewing and negotiating banking and financing documents with the firm’s depositories lenders;
  • Research and advise business leaders on recent corporate legal developments and best practices;
  • Review firm publications, advertisements and press releases;
  • Review existing policies and procedures, identify areas of weakness, implement change and disseminate knowledge to client facing professionals and others as appropriate.

  • To qualify for the role, you must have

  • Academic degree in Law in a reference university;
  • At least 5 years of professional experience working as a Lawyer;
  • Expertise in different areas of practice;
  • Experience in corporate environment;
  • Good knowledge in English.
